GRACE & GOODWILL LTD PLATFORM / AGENCY INTRODUCTION TERMS
1. INTRODUCTION
These Platform / Agency Introduction Terms (the "Terms") govern the provision of the introductory services and operation of the online platform provided by Grace & Goodwill Ltd ("Grace & Goodwill") through its website located at www.graceandgoodwill.co.uk. These Terms apply to all Clients, Family Members, Care Workers and other Users who register with, access or use the Platform for the purpose of requesting, receiving or participating in introductions facilitated by Grace & Goodwill.
Grace & Goodwill operates solely as an introductory agency and online platform. Its role is limited to facilitating introductions between Clients seeking live-in care and self-employed Care Workers who have completed Grace & Goodwill's onboarding and compliance requirements. Grace & Goodwill does not employ Care Workers, provide regulated care services, supervise or direct the delivery of care, or become a party to any care arrangement entered into between a Client and a Care Worker following an Introduction.
These Terms establish the contractual framework governing the introductory services, membership arrangements, introductions, placements, payments, non-circumvention obligations and other matters relating to the use of the Platform. By registering for, accessing or using the Platform, requesting or accepting an Introduction, purchasing a membership, or otherwise using any services provided by Grace & Goodwill, you confirm that you have read, understood and agree to be legally bound by these Terms, together with any other applicable agreements or policies expressly incorporated by reference. If you do not agree to these Terms, you must not register for or use the Platform or the introductory services provided by Grace & Goodwill.
2. DEFINITIONS
2.1. In these Terms, unless the context requires otherwise, the following expressions shall have the meanings set out below. Defined terms shall have the same meaning whether used in the singular or plural, unless the context expressly requires otherwise.
a. "Agency Services" means the introductory, administrative and platform services provided by Grace & Goodwill for the purpose of facilitating introductions between Clients and Care Workers. The Agency Services may include reviewing care requirements, creating and verifying Client profiles, reviewing information provided by Clients, facilitating compliance and onboarding procedures, identifying potentially suitable Care Workers, maintaining Care Worker profiles, communicating with prospective Care Workers, arranging introductions, facilitating payment administration and carrying out such other administrative activities as are reasonably connected with the operation of the Platform. For the avoidance of doubt, the Agency Services do not include the provision, supervision or management of care services.
b. "Care Worker" means a self-employed independent contractor who has registered with the Platform and has satisfied Grace & Goodwill's onboarding and compliance requirements for inclusion on the Platform.
c. "Client" means any individual who registers with the Platform or otherwise engages Grace & Goodwill to obtain an Introduction to one or more Care Workers.
d. "Family Member" means any individual acting on behalf of, or in the interests of, a Client in relation to enquiries, registrations, Introductions or Placements through the Platform.
e. "Grace & Goodwill" means Grace & Goodwill Ltd, a company incorporated and registered in England and Wales under company number 16011465.
f. "Introduction" means the introduction of a Client to a Care Worker by Grace & Goodwill through the Platform or by any other means operated or authorised by Grace & Goodwill.
g. "Client Lifetime Membership" means the personal, non-transferable membership purchased for a specific registered Client, entitling that Client to access the Platform and the Agency Services in accordance with these Terms. The Membership belongs solely to the registered Client, cannot be transferred to another individual or care recipient and automatically terminates upon the death of the registered Client, permanent discontinuation of the Platform or termination in accordance with these Terms.
h. "Grace & Goodwill Verified Professional" means the optional invitation only subscription programme made available by Grace & Goodwill to selected registered Care Workers who satisfy the eligibility criteria determined by Grace & Goodwill from time to time.
i. "Placement" means the engagement of a Care Worker by a Client following an Introduction made by Grace & Goodwill, regardless of whether the engagement commences immediately or at a later date.
j. "Platform" means the online introductory platform operated by Grace & Goodwill through www.graceandgoodwill.co.uk, together with any associated applications, portals or digital services made available from time to time.
k. "Applicable Fees" means the fees, charges and other pricing information published on the Platform or Website, or otherwise communicated by Grace & Goodwill in writing from time to time.
l. "Replacement Care Worker" means a Care Worker introduced by Grace & Goodwill as a replacement following the termination or unavailability of a previously introduced Care Worker, where a replacement is available and the applicable conditions have been satisfied.
m. "Services" means the Agency Services and any other lawful services provided by Grace & Goodwill in connection with the operation of the Platform.
n. "Terms" means these Platform / Agency Introduction Terms, as amended from time to time.
o. "Transfer Fee" means the fee payable where a Client or Care Worker enters into, facilitates or participates in a direct engagement in circumstances giving rise to a payment obligation under these Terms or any applicable agreement.
p. "User" means any Client, Family Member, Care Worker or other person who accesses or uses the Platform or Agency Services.
3. NATURE OF GRACE & GOODWILL'S SERVICES
3.1. Grace & Goodwill operates solely as an introductory agency and online platform that facilitates introductions between Clients seeking live-in care and self-employed Care Workers. Its role is limited to recruiting, onboarding, carrying out compliance and verification processes, maintaining Care Worker profiles, facilitating introductions and providing related administrative and platform services. Grace & Goodwill does not itself provide live-in care or any other care services and does not become a party to any care arrangement entered into between a Client and a Care Worker. Care Workers independently determine their own availability, decide whether to apply for available Placement opportunities and remain entirely free to accept or decline any proposed Placement. Likewise, Clients remain solely responsible for determining whether to engage any Care Worker introduced through the Platform. Grace & Goodwill does not allocate Placements, require Care Workers to accept engagements or otherwise exercise control over those decisions.
3.2. Care Workers introduced through the Platform are independent self-employed contractors and are not employees, workers, agents or representatives of Grace & Goodwill. Grace & Goodwill does not recruit Care Workers as employees, does not operate PAYE on their behalf, and does not direct, supervise or control the manner in which they provide their services. Each Care Worker remains solely responsible for the services they provide, their professional conduct, tax affairs, insurance, legal obligations and compliance with all applicable laws and regulatory requirements.
3.3. Grace & Goodwill operates as an introductory agency whose activities are limited to facilitating introductions between Clients and self-employed Care Workers together with related administrative and Platform services. Grace & Goodwill intends to conduct its business in a manner consistent with the legal and regulatory framework applicable to introductory agencies in England and Wales. Nothing contained in these Terms shall be interpreted as indicating that Grace & Goodwill provides regulated care services or undertakes activities requiring registration with the Care Quality Commission unless and until its business model or operations change accordingly.
4. ELIGIBILITY AND REGISTRATION
4.1. To access the Agency Services, Users must complete the applicable registration process and provide all information reasonably requested by Grace & Goodwill. By registering with the Platform, each User represents and warrants that all information and documentation provided is accurate, complete, current and not misleading, and agrees to promptly notify Grace & Goodwill of any material change affecting their eligibility or the information previously provided.
4.2. Clients and Family Members may register for the purpose of requesting Introductions and accessing the Agency Services. Care Workers seeking to join the Platform must successfully complete Grace & Goodwill's onboarding and compliance requirements before their profile may be approved for publication or made available for Introductions. Grace & Goodwill reserves the right, at its reasonable discretion, to accept, decline, suspend or withdraw any registration or profile where the applicable eligibility or compliance requirements have not been satisfied or where it reasonably considers such action necessary to protect the integrity, reputation or lawful operation of the Platform.
4.3. Users acknowledge that Grace & Goodwill is entitled to rely upon the accuracy and completeness of the information and documentation submitted during registration. Grace & Goodwill shall not be responsible for any loss, liability or consequence arising from false, misleading, incomplete or outdated information supplied by a User.
5. MEMBERSHIP AND CARE WORKER REGISTRATION
5.1. Client Lifetime Membership. Prospective Clients may browse the Platform and make general enquiries without charge. Access to the Agency Services, including Platform activation, introductions and ongoing use of the Platform, requires the purchase of the applicable Client Lifetime Membership.
5.2. The Client Lifetime Membership is personal to the registered Client and may not be assigned, transferred, shared or used for the benefit of any other individual, family member or care recipient. Where a family member purchases the Membership on behalf of the Client, the Membership shall nevertheless belong solely to the registered Client.
5.3. Each registered care recipient must hold a separate Client Lifetime Membership unless Grace & Goodwill expressly agrees otherwise in writing. The purchase of a Membership for one Client shall not extend to any additional care recipient.
5.4. The Client Lifetime Membership shall automatically terminate upon: a. the death of the registered Client; b. permanent discontinuation of the Platform or Agency Services; c. termination in accordance with these Terms; or d. permanent closure of the Client's Platform account.
5.5. For the purposes of these Terms, "Lifetime" refers only to the lifetime of the registered Client whilst the Platform and Agency Services continue to operate and does not create a perpetual entitlement irrespective of future circumstances.
5.6. Care Worker Registration. Eligible Care Workers may register on the Platform free of charge by successfully completing Grace & Goodwill's onboarding, verification and compliance requirements. Registration enables approved Care Workers to maintain a professional profile, receive notifications of suitable Placement opportunities, browse available Placements and independently decide whether to apply for or accept any Placement.
5.7. Grace & Goodwill Verified Professional. Grace & Goodwill may, at its sole discretion, invite selected registered Care Workers to participate in its optional Grace & Goodwill Verified Professional programme. Eligibility shall be determined exclusively by Grace & Goodwill and may take into account factors including professional standards, client feedback, reliability, compliance history, safeguarding record, overall conduct and any other criteria Grace & Goodwill considers relevant.
5.8. Participation in the Verified Professional programme is entirely voluntary, is available by invitation only and is subject to payment of the applicable monthly subscription fee published on the Platform or otherwise communicated by Grace & Goodwill in writing. Verified Professional status does not create any employment relationship, guarantee Placements, priority access to Clients or any minimum level of work or earnings. Grace & Goodwill reserves the right to suspend, withdraw or revoke Verified Professional status at any time where it considers this appropriate.
5.9. No Guarantee. Registration on the Platform or participation in the Verified Professional programme does not guarantee approval, Introductions, Placements, Client selection or any minimum level of work or income.
6. PLATFORM USE
6.1. The Platform is provided solely for the purpose of facilitating the Agency Services offered by Grace & Goodwill. Users may access and use the Platform only in accordance with these Terms and any other applicable agreements governing their use of the Agency Services. Users shall use the Platform honestly, lawfully and in good faith and only for the purposes for which it has been made available.
6.2. Subject to the applicable membership, eligibility and compliance requirements, Clients and Family Members may create and manage their accounts, submit enquiries, provide care requirements, search and review Care Worker profiles, compare available Care Workers, request Introductions, browse available Care Workers independently, manage Placement information, make payments through the Platform and access such additional features as Grace & Goodwill may make available from time to time. Care Workers may create and maintain their profiles, upload and update compliance documentation, indicate their availability, browse Placement opportunities, communicate through the Platform where available and independently decide whether to express an interest in or accept any Placement.
6.3. Users are responsible for ensuring that all information, documents and other material submitted through the Platform remain accurate, complete and up to date. Users must promptly update any information that becomes inaccurate or incomplete and must not use the Platform in any manner that is misleading, unlawful or inconsistent with these Terms or any applicable agreement.
6.4. Grace & Goodwill reserves the right to introduce, modify, suspend or withdraw any feature or functionality of the Platform where reasonably necessary for legal, regulatory, operational, commercial or security reasons. The availability of any feature shall not create any continuing entitlement to its future availability, and Grace & Goodwill shall not be liable for the modification, suspension or withdrawal of any Platform feature undertaken in accordance with these Terms.
7. INTRODUCTION PROCESS
7.1. Clients may request an Introduction through the Platform by submitting an enquiry, selecting a preferred Care Worker or otherwise following the introduction process made available by Grace & Goodwill. Grace & Goodwill will use reasonable endeavours to facilitate an Introduction between the Client and one or more Care Workers whom it reasonably considers may be suitable based upon the information provided by the Client, the Care Worker's profile, stated availability and any other relevant factors. The Client remains solely responsible for determining whether a Care Worker is suitable for their individual needs and circumstances.
7.2. Care Workers remain entirely free to determine their own availability and to decide whether to express an interest in, apply for, accept or decline any proposed Introduction or Placement opportunity. Clients likewise remain entirely free to determine whether they wish to engage any Care Worker following an Introduction. Grace & Goodwill facilitates Introductions but does not allocate Placements, require any Care Worker to accept an engagement, or influence the independent decisions of either party regarding whether a Placement should proceed.
7.3. Grace & Goodwill will use reasonable endeavours to maintain an appropriate number of registered Care Workers on the Platform; however, it does not warrant or guarantee that a suitable Care Worker will always be available or that an Introduction will be made within any particular timeframe. Likewise, an Introduction does not guarantee that a Placement will occur or that any Placement, once commenced, will continue for any minimum period.
7.4. An Introduction shall be regarded as having been made where Grace & Goodwill provides a Client with access to, or details of, a Care Worker through the Platform or otherwise facilitates direct communication between the Client and the Care Worker for the purpose of discussing or arranging a Placement. All Introductions made through Grace & Goodwill remain subject to these Terms and any other applicable agreements governing the relationship between the parties.
8. PLACEMENT PROCESS
8.1. Following an Introduction, the Client shall have the opportunity to consider the information provided by Grace & Goodwill and determine whether they wish to engage a Care Worker. Likewise, the Care Worker shall remain free to accept or decline any proposed Placement. No Placement shall arise unless both the Client and the Care Worker independently agree to proceed.
8.2. Where the parties agree to proceed, Grace & Goodwill shall use reasonable endeavours to facilitate the administrative aspects of the Placement, including confirming the proposed commencement date, assisting with onboarding requirements, facilitating payment arrangements through the Platform and providing such administrative support as forms part of the Agency Services. Grace & Goodwill may also assist with communications between the parties where reasonably necessary to support the commencement or administration of the Placement. Grace & Goodwill's involvement throughout the Placement is limited to administrative coordination and payment administration forming part of the Agency Services. Where Grace & Goodwill collects or distributes payments, it does so solely as a commercial intermediary and payment collection and administration agent. Such activities shall not be interpreted as Grace & Goodwill supervising, directing or controlling the Care Worker, providing care services or assuming responsibility for the delivery of those services.
8.3. Upon commencement of a Placement, the contractual relationship for the provision of care services exists directly between the Client and the Care Worker and shall be governed by the applicable Client Agreement, Self-Employed Care Worker Agreement and, where applicable, the Client and Care Worker Service Agreement or any other contractual documentation entered into between those parties. Although ongoing care payments may continue to be processed through the Platform, Grace & Goodwill does not supervise, direct, control or manage the manner in which care services are delivered and does not assume responsibility for the day-to-day performance of the Care Worker or the decisions made by the Client in relation to the Placement.
8.4. Grace & Goodwill may provide reasonable administrative assistance during a Placement where requested by the parties or where necessary for the operation of the Platform, including facilitating payment administration, maintaining placement records and coordinating communications relating to the Agency Services. Such assistance shall not be interpreted as creating an employment relationship, agency relationship or regulated care provider relationship, nor shall it be construed as Grace & Goodwill exercising control over the provision of care services.
9. CLIENT RESPONSIBILITIES
9.1. Clients are responsible for ensuring that all information provided to Grace & Goodwill concerning the care recipient is complete, accurate, current and promptly updated throughout their use of the Platform.
9.2. This includes, where applicable (a) medical conditions; (b) diagnoses; (c) allergies; (d) prescribed medication; (e) prescribed treatments; (f) GP or hospital instructions; (g) mobility requirements; (h) identified risks; (i) care preferences; and (j) any material change affecting the proposed or existing Placement. Grace & Goodwill is entitled to rely upon the information supplied by the Client and is not responsible for verifying its accuracy, completeness or continuing validity before communicating that information to a Care Worker.
9.3. The Client is solely responsible for selecting the Care Worker they consider most suitable for their individual needs and for determining whether to proceed with a Placement following an Introduction. Clients acknowledge that they have had the opportunity to review the Care Worker's profile, qualifications, experience and other information made available through the Platform before making their decision.
9.4. Following the commencement of a Placement, the Client shall provide a safe, lawful and suitable environment in which the Care Worker may perform the agreed services and shall cooperate reasonably with the Care Worker to facilitate the successful delivery of those services. The Client shall remain responsible for complying with all applicable legal obligations arising from their relationship with the Care Worker and for ensuring that any information or instructions provided to the Care Worker are accurate and appropriate.
9.5. Where payments are made through the Platform, the Client shall ensure that all membership fees, care fees and any other sums payable under the applicable agreements are paid in accordance with the agreed payment arrangements. The Client shall not misuse the Platform, interfere with its operation or use the Agency Services for any unlawful, fraudulent or improper purpose.
9.6. The Client shall promptly notify Grace & Goodwill of any significant concern relating to a Placement, including safeguarding concerns, serious complaints, the early termination of a Placement or any other matter that may materially affect the Agency Services or the continued operation of the Placement. Such notification enables Grace & Goodwill to administer the Platform appropriately and, where applicable, assist with the administrative processes provided as part of the Agency Services.
10. CARE WORKER RESPONSIBILITIES
10.1. Care Workers are responsible for ensuring that all information, qualifications, experience, references, certifications and other details provided to Grace & Goodwill are accurate, complete, current and capable of verification. Care Workers shall promptly notify Grace & Goodwill of any material change affecting their eligibility, availability, legal status or ability to provide care services through the Platform and shall ensure that their profile remains accurate and up to date at all times.
10.2. Each Care Worker acknowledges and agrees that they provide services solely as an independent self-employed contractor and are not an employee, worker, agent or representative of Grace & Goodwill. Care Workers are solely responsible for complying with all applicable legal, regulatory and tax obligations arising from their self-employed status, including maintaining any required registrations, submitting tax returns, paying taxes and National Insurance contributions, obtaining and maintaining appropriate insurance cover, and complying with all other legal requirements applicable to their services.
10.3. Care Workers shall maintain throughout their registration all qualifications, licences, professional registrations, mandatory online training, practical training where applicable, specialist training relevant to the services they provide, Enhanced DBS certificates (or DBS Update Service status where applicable), Right to Work documentation, Public Liability Insurance, Professional Indemnity Insurance and any other compliance documentation reasonably required by Grace & Goodwill or applicable law. Grace & Goodwill does not maintain these matters on behalf of the Care Worker, and responsibility for maintaining them remains solely with the Care Worker.
10.4. Care Workers shall provide their services professionally, honestly and in accordance with the agreed care arrangements established with the Client. Care Workers shall also notify Grace & Goodwill without undue delay of any matter that may affect their continued suitability to remain registered on the Platform, including criminal convictions or cautions, safeguarding concerns, suspension or removal from any professional register, expiry or cancellation of insurance, expiry of DBS documentation or qualifications, restrictions upon their ability to work or any other circumstance that may reasonably affect client safety or their suitability to remain on the Platform.
10.5. Care Workers shall not misuse the Platform, misrepresent their qualifications or experience, upload false or misleading information, circumvent the Platform or otherwise act in a manner that may adversely affect the integrity, reputation or lawful operation of Grace & Goodwill or the Agency Services.
10.6. Grace & Goodwill is entitled to rely upon the information and documentation supplied by the Care Worker and shall not be responsible where any information, document or declaration is false, misleading, incomplete or subsequently becomes inaccurate or out of date.
11. COMPLIANCE AND VERIFICATION
11.1. Grace & Goodwill is committed to maintaining appropriate onboarding and compliance standards to support the integrity of the Platform and assist Clients in making informed decisions when selecting a Care Worker. As part of its Agency Services, Grace & Goodwill may carry out such identity, eligibility and compliance checks as it reasonably considers appropriate before approving a Care Worker for inclusion on the Platform and periodically throughout the duration of the Care Worker's membership.
11.2. Depending upon the nature of the services to be provided, Grace & Goodwill's onboarding and compliance procedures may include identity verification, Right to Work verification, Enhanced DBS checks or DBS Update Service status where applicable, reference checks, verification of mandatory training, insurance verification, qualification verification and such other reasonable checks as Grace & Goodwill considers appropriate before introducing a Care Worker through the Platform.
11.3. Grace & Goodwill may require updated compliance documentation at any time during a Care Worker's registration, including updated DBS documentation, Right to Work evidence, insurance certificates, qualifications, training records, references or any other documentation reasonably required to maintain Platform standards or comply with applicable legal obligations. Failure to provide requested documentation within a reasonable period may result in suspension or removal from the Platform until the relevant requirements have been satisfied.
11.4. For the purpose of carrying out compliance procedures, Grace & Goodwill may contact referees, previous employers, training providers, regulatory bodies, verification providers and other appropriate third parties, provided that the Care Worker has given the necessary authority or such verification is otherwise permitted by applicable law. Care Workers acknowledge and agree that Grace & Goodwill may rely upon reputable third-party service providers to assist with identity verification, background checks and other compliance procedures where reasonably necessary.
11.5. Where Grace & Goodwill reasonably becomes aware of safeguarding concerns, criminal allegations, fraud, serious complaints, regulatory action, material compliance failures or any other matter that may affect a Care Worker's continued suitability to remain registered, Grace & Goodwill may suspend or remove the Care Worker from the Platform while it considers whether continued registration remains appropriate. Any review undertaken by Grace & Goodwill shall be solely for the purpose of determining continued Platform suitability and shall not constitute supervision, management or investigation of the Care Worker's care services.
11.6. Nothing contained in this Section shall oblige Grace & Goodwill to carry out any particular level of investigation, monitoring or supervision, nor shall any compliance or verification activity undertaken by Grace & Goodwill constitute a guarantee, endorsement or certification of a Care Worker's competence, suitability, conduct or future performance. Responsibility for selecting and engaging a Care Worker remains solely with the Client.
11.7. Grace & Goodwill reserves the right to introduce additional onboarding requirements, refresher training, updated compliance procedures or enhanced verification measures where it reasonably considers such action necessary to maintain the standards of the Platform, reflect changes in applicable law, regulatory guidance, safeguarding requirements or industry best practice. Care Workers shall cooperate with all reasonable compliance requests as a condition of their continued membership and use of the Platform.
12. FEES AND PAYMENTS
12.1. Applicable Fees. The fees payable in connection with the Agency Services, including the Client Lifetime Membership Fee, Agency Fees, Care Fees, Verified Professional subscription fees and any other applicable charges, shall be those published on the Platform or Website or otherwise communicated in writing by Grace & Goodwill from time to time.
12.2. Client Payments. Clients shall pay all applicable Membership Fees, Agency Fees, Care Fees, agreed expenses and all other sums payable under these Terms and any applicable agreement in accordance with the agreed payment arrangements. Where Grace & Goodwill collects payments relating to a Placement, it acts solely as a commercial intermediary and payment collection and administration agent between the Client and the self-employed Care Worker. The collection, administration and onward distribution of payments forms part of Grace & Goodwill's Agency Services and shall not make Grace & Goodwill the provider of care services, the employer of the Care Worker or otherwise alter the independent contractual relationship between the Client and the Care Worker.
12.3. Care Worker Payments. Subject to receipt of cleared funds from the Client, Grace & Goodwill shall ordinarily remit Care Fees to the Care Worker weekly, one week in arrears, with payment normally made each Wednesday unless otherwise agreed in writing. Prior to remitting Care Fees, Grace & Goodwill may deduct any sums properly payable under these Terms or any applicable agreement, including agreed Agency Fees, commissions, administration charges, adjustments or authorised deductions.
12.4. Payment administration. Grace & Goodwill provides payment collection and administration solely as part of its Agency Services. Such administrative functions are undertaken exclusively as a commercial intermediary and payment collection and administration agent and shall not create any employment relationship, agency relationship for the provision of care services or regulated care provider relationship between Grace & Goodwill and either the Client or the Care Worker.
12.5. Failed or Overdue Payments. Users are responsible for maintaining valid and accurate payment details. If any payment is declined, reversed, recalled, cancelled or remains overdue, Grace & Goodwill may suspend the relevant membership, Introduction, Placement administration or access to paid Platform features until the outstanding amount has been received. Grace & Goodwill may also recover reasonable costs incurred in collecting overdue amounts, where permitted by law.
12.6. Refunds and Adjustments. Refunds, cancellations and payment adjustments shall be determined in accordance with these Terms, the applicable Client Service Agreement and any mandatory consumer rights applicable under the laws of England and Wales.
12.7. Where Grace & Goodwill reasonably considers that a payment is subject to a genuine dispute, suspected fraud, safeguarding concern, chargeback, regulatory investigation or any other circumstance that may affect the lawful distribution of funds, Grace & Goodwill may temporarily withhold, delay or suspend the release of the relevant payment until the matter has been appropriately investigated and resolved. Grace & Goodwill shall not incur any liability for exercising this right reasonably and in good faith.
13. REPLACEMENT POLICY
13.1. Where a Placement ends, is due to end or a Client requests a replacement, the Client may either: a. browse available Care Workers independently through the Platform; or b. request Grace & Goodwill to assist in sourcing a suitable Replacement Care Worker.
13.2. Where Grace & Goodwill is requested to assist, it shall use reasonable endeavours to facilitate an Introduction to a suitable Replacement Care Worker within an estimated period of forty-eight (48) hours to seven (7) days, depending upon location, Care Worker availability and the Client's individual requirements. This estimated timeframe is provided for guidance only and shall not constitute a contractual guarantee.
13.3. Clients shall cooperate reasonably with Grace & Goodwill during the replacement process by providing any updated information reasonably required to facilitate a suitable replacement. Where applicable, the Client shall remain responsible for the reasonable travel costs incurred by a Replacement Care Worker in travelling to the Placement, together with any other charges payable under the applicable fees published on the Platform or Website or otherwise communicated in writing by Grace & Goodwill or Client Agreement.
13.4. Grace & Goodwill shall use reasonable endeavours to facilitate replacement services as part of its Agency Services but does not warrant or guarantee that a Replacement Care Worker will always be available, that any proposed Care Worker will be accepted by the Client, or that a Replacement Placement will commence within any particular period. Any Replacement Care Worker introduced through the Platform shall be treated as a new Introduction and shall remain subject to these Terms and all other applicable agreements governing the Placement.
14. REFUND POLICY
14.1. The Client Lifetime Membership Fee is charged for access to the Platform, activation of the Client's account and the provision of Grace & Goodwill's introductory and matching services.
14.2. By requesting immediate activation of the Platform account, the Client expressly requests Grace & Goodwill to commence the Agency Services before expiry of any statutory cancellation period. Activation of the Client profile, verification of registration information, review of care requirements, commencement of the matching process, communication with prospective Care Workers and facilitation of Introductions shall constitute commencement of the Agency Services.
14.3. Subject to applicable consumer legislation, the Membership Fee shall not ordinarily be refundable where: a. Platform services have commenced at the Client's express request; b. the Client account has been activated; c. Introductions have commenced; d. the Client changes their mind; e. the Client decides not to proceed with care; f. the Client chooses another provider; g. the Client is suspended or removed for breach of these Terms; h. false, misleading or fraudulent information has been supplied.
14.4. Membership Fees, Agency Fees and Care Fees are separate charges. Any refund entitlement shall apply only to the particular fee concerned and shall not affect the treatment of any other fee unless expressly stated.
14.5. Nothing contained in these Terms excludes or limits any statutory consumer rights that cannot lawfully be excluded.
15. COMPLAINTS
15.1. Complaints concerning the delivery or quality of care services should, in the first instance, be raised directly with the Care Worker providing those services.
15.2. Clients may notify Grace & Goodwill where concerns relate to safeguarding, fraud, criminal conduct, breaches of Platform standards or any matter affecting a Care Worker's continued suitability to remain registered on the Platform.
15.3. Grace & Goodwill may consider such matters solely for the purposes of determining whether continued Platform registration remains appropriate. Grace & Goodwill does not supervise, investigate or manage the day-to-day delivery of care services and shall not assume responsibility for resolving disputes relating to care provision.
15.4. Nothing in this Article shall require Grace & Goodwill to adjudicate contractual disputes between Clients and Care Workers.
16. NON-CIRCUMVENTION AND TRANSFER FEE
16.1. Protection of Introductions. The Agency Services provided by Grace & Goodwill are founded upon the Introductions it facilitates between Clients and Care Workers. In consideration of the Agency Services, the time, expertise, marketing investment, recruitment, onboarding, compliance procedures and administrative resources invested by Grace & Goodwill, each Client, Family Member and Care Worker agrees not to circumvent or attempt to circumvent Grace & Goodwill in connection with any Introduction or Placement made through the Platform or otherwise facilitated by Grace & Goodwill.
16.2. Non-Circumvention. Neither a Client, Family Member nor Care Worker shall, directly or indirectly, seek to avoid, bypass or otherwise circumvent Grace & Goodwill by entering into, negotiating, facilitating or continuing any private arrangement for the provision of care services arising from an Introduction made by Grace & Goodwill, except as expressly permitted under these Terms or any other written agreement with Grace & Goodwill.
16.3. Without limitation, circumvention includes: a. engaging or attempting to engage a Care Worker directly following an Introduction without Grace & Goodwill's written consent; b. encouraging, assisting or permitting another individual, family member, business, company, intermediary or agency to engage a Care Worker introduced by Grace & Goodwill outside the Platform; c. accepting or offering care services through another individual, business, company, intermediary or agency for the purpose of avoiding the Agency Services or any fees payable to Grace & Goodwill; d. terminating or suspending a Placement facilitated through Grace & Goodwill for the purpose of entering into a direct or indirect arrangement with the same Care Worker; e. introducing, referring or facilitating an Introduction through another person or organisation where the purpose or effect is to avoid Grace & Goodwill's Agency Services or commercial arrangements; or f. taking any other action intended to avoid, reduce or circumvent Grace & Goodwill's rights or fees arising from an Introduction or Placement.
16.4. Transfer Fee. Where a Client, Family Member or Care Worker enters into, facilitates or participates in a direct engagement or other arrangement that breaches this Section, the Client shall immediately become liable to pay Grace & Goodwill a Transfer Fee of £6,795 in respect of each affected Care Worker, unless the exemption set out in Clause 15.5 applies. The Transfer Fee represents a genuine commercial fee payable for the transfer of the Placement and the loss of the Agency Services, recruitment investment, onboarding, compliance procedures and business opportunity provided by Grace & Goodwill, and is agreed by the parties to be reasonable in the circumstances.
16.5. Nine-Month Exemption. No Transfer Fee shall be payable where the Client has continuously engaged the same Care Worker through Grace & Goodwill for a minimum period of nine (9) consecutive months immediately preceding the proposed direct engagement and all amounts due to Grace & Goodwill have been paid in full. Upon satisfaction of those conditions, the Client may engage the Care Worker directly without further payment to Grace & Goodwill unless otherwise agreed in writing.
16.6. Continuing Obligations. The obligations contained in this Section apply irrespective of whether the Introduction was made through the Platform, by telephone, email, video consultation, messaging service or any other means used by Grace & Goodwill. They also continue to apply where a Placement does not proceed immediately, is temporarily suspended, or subsequently recommences following the original Introduction.
16.7. Remedies. The parties acknowledge that a breach of this Section may cause Grace & Goodwill substantial commercial loss that may not be adequately compensated by damages alone. Accordingly, in addition to recovering the applicable Transfer Fee and any other sums due, Grace & Goodwill shall be entitled, to the fullest extent permitted by law, to seek injunctive relief, specific performance, damages, recovery of reasonable legal costs and any other remedy available under the laws of England and Wales.
16.8. Survival. The obligations contained in this Section shall survive the termination, expiry or cancellation of these Terms, any membership, any Placement and any other agreement between the parties for so long as may be necessary to give full effect to their purpose.
17. CONFIDENTIALITY
17.1. The Client, Family Member and Care Worker acknowledge that, through the use of the Platform and the Agency Services, they may obtain access to confidential or sensitive information relating to Grace & Goodwill, other Users, Placements and the operation of the Platform. Each party agrees to treat such information as confidential and to use it solely for the purposes of receiving or providing the Agency Services or fulfilling their obligations under these Terms.
17.2. Without limitation, confidential information includes personal information, contact details, care requirements, health-related information lawfully shared for the purpose of arranging a Placement, business information, pricing information, Platform processes, operating procedures, membership information, commercial arrangements, training materials, documents, photographs, verification records, communications and any other information which is identified as confidential or which would reasonably be regarded as confidential by its nature.
17.3. No User shall disclose, copy, distribute or otherwise make confidential information available to any third party except where such disclosure is necessary for the lawful performance of a Placement, expressly authorised by the relevant party, required for the proper operation of the Agency Services or required by law, a court of competent jurisdiction or a regulatory authority.
17.4. Each User shall take reasonable steps to safeguard confidential information against unauthorised access, use or disclosure and shall immediately notify Grace & Goodwill upon becoming aware of any actual or suspected unauthorised disclosure, misuse or security incident affecting confidential information obtained through the Platform.
17.5. The obligations contained in this Section shall not apply to information which: (a) is or becomes publicly available other than through a breach of these Terms; (b) was lawfully known to the receiving party before its disclosure; (c) is lawfully obtained from an independent third party without any obligation of confidentiality; or (d) must be disclosed to comply with a legal or regulatory obligation, provided that, where legally permitted, the disclosing party gives reasonable prior notice to the affected party.
17.6. Users shall not use any confidential information, contact details or other information obtained through the Platform or the Agency Services to solicit, recruit, approach or otherwise deal directly with another User except to the extent reasonably necessary for the legitimate purposes contemplated by these Terms or with the prior written consent of Grace & Goodwill.
17.7. The confidentiality obligations contained in this Section shall survive the termination, expiry or cancellation of these Terms and shall continue for so long as the relevant information remains confidential.
18. INTELLECTUAL PROPERTY
18.1. All intellectual property rights in and relating to the Platform, Website, Agency Services, business methods, branding, trade names, logos, trade marks, domain names, software, databases, content, documents, templates, forms, policies, training materials, graphics, photographs, videos and all other materials created, owned or made available by Grace & Goodwill shall remain the exclusive property of Grace & Goodwill or its licensors, as applicable. Nothing contained in these Terms transfers or assigns any intellectual property rights to any User except for the limited right to access and use the Platform in accordance with these Terms.
18.2. Users are granted a limited, personal, non-exclusive, non-transferable and revocable licence to access and use the Platform solely for the lawful purposes contemplated by these Terms and the applicable agreements. Users shall not reproduce, copy, modify, distribute, publish, licence, sell, exploit, reverse engineer, extract, scrape or otherwise use any part of the Platform or its contents except with the prior written consent of Grace & Goodwill or as expressly permitted by law.
18.3. Where a User uploads or submits information, documents, photographs, profile content, testimonials or other materials to the Platform, the User confirms that they own or have the necessary rights to provide such materials and grant Grace & Goodwill a non-exclusive, worldwide, royalty-free licence to store, reproduce, display, process and use those materials to the extent reasonably necessary to operate, administer, promote and improve the Platform and the Agency Services. Ownership of the User's original content shall remain with the User.
18.4. Users shall not use the name Grace & Goodwill, its branding, logos or other identifying marks in any manner that is misleading, unauthorised or likely to suggest any endorsement, partnership or affiliation beyond that expressly contemplated by these Terms. Any goodwill arising from the use of Grace & Goodwill's intellectual property shall accrue solely to the benefit of Grace & Goodwill.
18.5. Nothing in this Section restricts a User from using their own name, professional qualifications, experience or independently created materials outside the Platform, provided that such use does not infringe the intellectual property rights of Grace & Goodwill or otherwise breach these Terms.
19. DATA PROTECTION
19.1. Grace & Goodwill is committed to processing personal data lawfully, fairly and transparently in accordance with the UK General Data Protection Regulation, the Data Protection Act 2018 and any other applicable data protection legislation in force from time to time. Personal data collected through the Platform shall be processed only for legitimate purposes connected with the operation of the Agency Services, the administration of memberships, the facilitation of Introductions and Placements, compliance and verification procedures, payment administration, customer support and the fulfilment of legal and regulatory obligations.
19.2. By registering with or using the Platform, Users acknowledge that Grace & Goodwill may collect, use, store, disclose and otherwise process personal data in accordance with its Privacy Policy. Users are responsible for ensuring that any personal data or documents they submit to the Platform are accurate, up to date and lawfully provided. Where a User supplies personal data relating to another individual, the User confirms that they have the necessary authority or lawful basis to do so.
19.3. Grace & Goodwill may share personal data with carefully selected third-party service providers where reasonably necessary for the operation of the Platform and the Agency Services, including payment processors, identity and compliance verification providers, cloud hosting providers, information technology service providers, professional advisers and regulatory authorities where disclosure is required by law. Grace & Goodwill shall take reasonable steps to ensure that such third parties process personal data in accordance with applicable data protection legislation.
19.4. Users acknowledge that the effective operation of the Platform requires the sharing of certain information between Clients, Family Members and Care Workers for the purpose of facilitating Introductions, assessing suitability, administering Placements and supporting the Agency Services. Grace & Goodwill shall only disclose such information as is reasonably necessary for those purposes and in accordance with applicable law.
19.5. Further information regarding the collection, use, retention, sharing, international transfers, security and protection of personal data, together with the rights available to data subjects, is set out in the Privacy Policy, which forms part of the contractual framework governing the use of the Platform and the Agency Services.
20. SUSPENSION AND TERMINATION
20.1. Grace & Goodwill may suspend, restrict or terminate a User's access to the Platform, the Agency Services, any membership or any associated account where it reasonably considers that the User has breached these Terms, any other applicable agreement, or any applicable law, has provided false, inaccurate or misleading information, no longer satisfies the applicable eligibility or compliance requirements, has failed to make any payment due, has misused the Platform or has otherwise acted in a manner that may adversely affect the integrity, security, reputation or lawful operation of the Platform or the Agency Services.
20.2. Where reasonably practicable, Grace & Goodwill will notify the affected User of the reasons for the suspension or termination and, where the circumstances reasonably permit, provide the User with an opportunity to remedy the relevant issue within a reasonable period. Nothing in this Section shall prevent Grace & Goodwill from taking immediate action where it reasonably considers that urgent action is necessary to protect Users, safeguard confidential information, maintain the security or integrity of the Platform, comply with a legal or regulatory obligation, or prevent fraud, unlawful activity or other serious misconduct.
20.3. A User may terminate their membership or cease using the Platform at any time, subject to the applicable Client Agreement, Care Worker Agreement and any other contractual obligations that remain outstanding. Termination of membership or access to the Platform shall not automatically terminate any Placement, payment obligation or other agreement already entered into between the relevant parties unless expressly stated in the applicable contractual documentation.
20.4. Termination or suspension of these Terms shall not affect any rights, obligations or liabilities that accrued before the effective date of termination. Any provision which, by its nature or express wording, is intended to survive termination, including provisions relating to confidentiality, intellectual property, data protection, payment obligations, non-circumvention, Transfer Fees, indemnities, limitations of liability and dispute resolution, shall continue in full force and effect following termination.
20.5. Grace & Goodwill reserves the right to discontinue or withdraw the Platform or any part of the Agency Services where reasonably necessary for legal, regulatory, operational or commercial reasons. Where reasonably practicable, Grace & Goodwill will provide advance notice of any permanent discontinuation affecting existing Users.
21. DISCLAIMERS
21.1. Grace & Goodwill provides the Agency Services solely as an introductory agency and administrative platform. Whilst Grace & Goodwill undertakes reasonable recruitment, onboarding, compliance and verification procedures before approving Care Workers for inclusion on the Platform, it does not warrant or guarantee the competence, experience, suitability, availability, conduct or continued performance of any Care Worker, nor does it guarantee that any Care Worker is suitable for a particular Client or Placement. The final decision to engage a Care Worker rests solely with the Client.
21.2. Grace & Goodwill does not assess clinical needs, determine whether care is clinically appropriate, prepare care plans, supervise or monitor clinical or personal care, make medical decisions or provide healthcare services. All decisions concerning the care required by a Client remain the responsibility of the Client, the Care Worker and any appropriately qualified healthcare professionals involved.
21.3. Although Grace & Goodwill may facilitate communications, administrative support, payment processing, replacement requests and other Agency Services during the course of a Placement, such assistance shall not be interpreted as creating an employment relationship, partnership, agency relationship or regulated care provider relationship between Grace & Goodwill and any Client or Care Worker, nor shall it transfer responsibility for the provision of care from the Care Worker to Grace & Goodwill.
21.4. Information contained in Care Worker profiles, qualifications, references, testimonials, photographs and other materials made available through the Platform is derived from information provided by or on behalf of the relevant Care Worker or obtained during Grace & Goodwill's onboarding and verification procedures. Whilst Grace & Goodwill takes reasonable steps to review such information, it does not guarantee that it will always remain complete, accurate or up to date. Clients are expected to exercise their own judgement and make their own enquiries before deciding whether to proceed with any Placement.
21.5. Grace & Goodwill cannot guarantee the uninterrupted availability or continuity of care services. All Placements depend upon the availability, willingness and continued acceptance of suitably registered self-employed Care Workers.
21.6. Except where expressly stated in these Terms or required by applicable law, Grace & Goodwill gives no representation, warranty or guarantee, whether express or implied, regarding the Agency Services, the availability of Care Workers, the outcome of any Introduction or Placement, or the uninterrupted availability of the Platform.
22. LIMITATION OF LIABILITY
22.1. Nothing in these Terms shall exclude or limit any liability that cannot lawfully be excluded or limited under the laws of England and Wales, including liability for death or personal injury resulting from negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
22.2. Subject to the foregoing, and to the fullest extent permitted by applicable law, Grace & Goodwill shall not be liable for any indirect, incidental, consequential, special or punitive loss or damage, or for any loss of profit, revenue, business, contracts, goodwill, reputation, anticipated savings, opportunity or data arising out of or in connection with the Agency Services, the Platform, any Introduction, Placement or the acts or omissions of any Client, Care Worker or other User, whether arising in contract, tort (including negligence), breach of statutory duty or otherwise.
22.3. Grace & Goodwill shall have no liability for the quality, suitability, safety, legality, performance or outcome of any care services provided by a Care Worker, nor for any decision made by a Client to engage, retain, replace or discontinue the engagement of a Care Worker. The Client and the Care Worker each acknowledge that they are solely responsible for the decisions they make and the contractual arrangements they enter into following an Introduction.
22.4. Grace & Goodwill shall not be liable for any interruption, delay, suspension or unavailability of the Platform, any failure of third-party payment processors, communication providers, verification services or other third-party systems upon which the Agency Services reasonably depend, except to the extent directly caused by Grace & Goodwill's own negligence or wilful misconduct.
22.5. To the fullest extent permitted by law, Grace & Goodwill's aggregate liability arising out of or in connection with these Terms or the Agency Services shall not exceed the total fees actually paid by the User directly to Grace & Goodwill during the twelve (12) months immediately preceding the event giving rise to the relevant claim.
22.6. Nothing in this Section shall affect any statutory rights or remedies that cannot lawfully be excluded or restricted under the laws of England and Wales.
23. INDEMNITY
23.1. The Client, Family Member and Care Worker each agree to indemnify and keep indemnified Grace & Goodwill, together with its directors, officers, employees, representatives and authorised agents, against all losses, liabilities, claims, demands, actions, proceedings, damages, costs and expenses, including reasonable legal and professional costs, arising directly or indirectly out of or in connection with: a. any breach of these Terms or any other applicable agreement governing the use of the Platform or the Agency Services; b. any inaccurate, false, misleading or incomplete information, documentation or representation provided by the User; c. any negligent, unlawful, fraudulent or wrongful act or omission committed by the User; d. any breach of applicable law, regulatory requirement or third-party rights by the User; e. any dispute, claim or legal proceedings arising out of the relationship between a Client and a Care Worker following an Introduction, except to the extent that such claim arises directly from the negligence or wilful misconduct of Grace & Goodwill; or f. any misuse of the Platform or the Agency Services by the User.
23.2. The indemnity contained in this Section shall apply only to the extent that the relevant loss or liability arises from the acts or omissions of the User and shall not apply to the extent that such loss results directly from the negligence, fraud or wilful misconduct of Grace & Goodwill.
23.3. Grace & Goodwill reserves the right, at its own expense, to assume the conduct of the defence, settlement or compromise of any matter for which it is entitled to be indemnified under this Section. The relevant User shall provide all reasonable information, assistance and cooperation requested by Grace & Goodwill in connection with the investigation, defence or settlement of such matter.
23.4. The obligations contained in this Section shall survive the termination, expiry or cancellation of these Terms for so long as may be necessary to give effect to their purpose.
24. GENERAL PROVISIONS
24.1. These Terms, together with the Client Agreement, Self-Employed Care Worker Agreement, fees published on the Platform or Website or otherwise communicated in writing by Grace & Goodwill, Privacy Policy, Cookie Policy and any other document expressly incorporated by reference, constitute the entire agreement between Grace & Goodwill and the User in relation to the Agency Services and supersede all prior discussions, negotiations, representations, understandings and agreements relating to the same subject matter.
24.2. Each User acknowledges that, in entering into these Terms, they have not relied upon any representation, statement, promise or warranty made by or on behalf of Grace & Goodwill other than those expressly set out in these Terms or any document expressly incorporated by reference.
24.3. If any provision of these Terms is held by a court or other competent authority to be invalid, unlawful or unenforceable, that provision shall, to the extent necessary, be deemed severed from these Terms. The remaining provisions shall continue in full force and effect.
24.4. No failure or delay by Grace & Goodwill in exercising any right, power or remedy under these Terms shall operate as a waiver of that right, power or remedy. Any waiver shall be effective only if made expressly in writing and shall apply only to the specific matter for which it is given.
24.5. Users shall not assign, transfer, subcontract, delegate or otherwise dispose of any of their rights or obligations under these Terms without the prior written consent of Grace & Goodwill. Grace & Goodwill may assign, transfer or otherwise deal with its rights and obligations under these Terms as part of a corporate reorganisation, business transfer or for any other legitimate commercial purpose, provided that doing so does not materially prejudice the rights of Users.
24.6. Grace & Goodwill shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including acts of God, flood, fire, epidemic, pandemic, war, terrorism, civil unrest, industrial disputes, interruption of utilities, failure of telecommunications or internet services, cyber incidents, governmental action or any other event beyond its reasonable control.
24.7. Except as expressly provided in these Terms, a person who is not a party to these Terms shall have no right to enforce any provision of these Terms under the Contracts (Rights of Third Parties) Act 1999.
24.8. Grace & Goodwill may amend these Terms where reasonably necessary to reflect changes in applicable law, regulatory requirements, business practices, the operation of the Platform or the Agency Services, or for any other legitimate business reason. Any revised version shall be published on the Platform or otherwise made available to Users and shall take effect on the date specified. Continued use of the Platform or the Agency Services after the effective date shall constitute acceptance of the revised Terms.
24.9. Any provision of these Terms which by its nature or express wording is intended to survive termination shall continue in full force and effect following the termination or expiry of these Terms, including, without limitation, provisions relating to confidentiality, intellectual property, data protection, payment obligations, non-circumvention, Transfer Fees, limitations of liability, indemnities and dispute resolution.
24.10. The headings used in these Terms are included for convenience only and shall not affect the interpretation or construction of these Terms.
25. GOVERNING LAW AND JURISDICTION
25.1. These Terms, and any dispute, claim or matter arising out of or in connection with them, the Agency Services, the Platform or any Introduction or Placement facilitated by Grace & Goodwill, whether arising in contract, tort (including negligence), breach of statutory duty or otherwise, shall be governed by and construed in accordance with the laws of England and Wales.
25.2. The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to determine any dispute or claim arising out of or in connection with these Terms or the Agency Services, unless applicable law requires otherwise.
25.3. Before commencing formal legal proceedings, the parties shall use reasonable endeavours to resolve any dispute through good faith discussions. Nothing in this Section shall prevent Grace & Goodwill from seeking urgent interim or injunctive relief from any court of competent jurisdiction where such relief is reasonably required to protect its confidential information, intellectual property, business interests or rights under the Non-Circumvention and Transfer Fee provisions.
26. PLATFORM MONITORING AND SECURITY
26.1. Grace & Goodwill may monitor the operation and use of the Platform where reasonably necessary to maintain its security, integrity, reliability and proper operation, to investigate suspected misuse, fraud or unlawful activity, to protect Users, or to comply with applicable legal or regulatory obligations.
26.2. Where Grace & Goodwill reasonably believes that any content, communication, account activity or use of the Platform breaches these Terms, any applicable agreement or applicable law, it may investigate the matter and take such reasonable action as it considers appropriate, including restricting access to the Platform, removing content, suspending accounts or taking any other action permitted under these Terms.
26.3. Nothing contained in this Section shall require Grace & Goodwill to actively monitor every User, communication or activity conducted through the Platform, nor shall it create any obligation to detect, prevent or investigate every instance of misconduct or unlawful activity.
27. ELECTRONIC COMMUNICATIONS AND ELECTRONIC ACCEPTANCE
27.1. By registering for, accessing or using the Platform, purchasing a membership, requesting or accepting an Introduction, or otherwise using the Agency Services, the User acknowledges and agrees that these Terms and any other applicable agreements may be entered into electronically and that electronic acceptance shall have the same legal force and effect as a handwritten signature.
27.2. Grace & Goodwill may communicate with Users electronically through the Platform, by email, SMS or by any other electronic communication method provided by the User. The User is responsible for ensuring that their contact details remain accurate and up to date and acknowledges that communications sent using the most recent contact details provided shall be deemed to have been validly delivered.
27.3. Grace & Goodwill may retain electronic records of registrations, memberships, purchases, acknowledgements, consents, acceptances, communications and other transactions completed through the Platform. Such electronic records may be relied upon as evidence of the User's acceptance of these Terms and any other applicable agreements to the fullest extent permitted by law.
